Terms of Service

1. Agreement to Terms

By accessing or using ProBidCore ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users, including contractors, estimators, and team members.

2. Description of Service

ProBidCore is a cloud-based construction bid management platform that enables users to create project estimates with detailed budget line items and sync them to Procore's budget module via the Procore API. The Service includes project management, template libraries, team collaboration, CSV import/export, and Procore integration features.

3. Accounts & Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized access to your account
  • You must be at least 18 years old to use the Service
  • One person or entity may not maintain more than one free account

4. Procore Integration

  • ProBidCore connects to Procore via OAuth 2.0 and acts on your behalf within the permissions you grant
  • You are responsible for ensuring you have the appropriate permissions in Procore to create and modify budget line items
  • ProBidCore is not affiliated with, endorsed by, or sponsored by Procore Technologies, Inc.
  • Procore® is a registered trademark of Procore Technologies, Inc.
  • You may disconnect your Procore account at any time. Disconnecting does not remove data already synced to Procore
  • We are not responsible for changes to the Procore API that may affect the sync functionality

5. Subscription & Billing

  • The Service offers free and paid subscription tiers. Paid features require an active subscription
  • Subscriptions are billed monthly or annually as selected at the time of purchase
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period
  • Refunds are handled in accordance with our refund policy. Contact support for refund requests
  • We reserve the right to change pricing with 30 days notice to existing subscribers

6. Your Data

  • You retain ownership of all project data, estimates, and line items you create in ProBidCore
  • You grant us a limited license to store, process, and transmit your data solely to provide the Service
  • You can export your data at any time via CSV export
  • You are responsible for maintaining backups of your critical business data
  • We take reasonable measures to protect your data but cannot guarantee absolute security

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to other users' accounts or data
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools to scrape, crawl, or otherwise extract data from the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Share your account credentials with unauthorized parties

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROBIDCORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

ProBidCore is a data synchronization tool. We are not responsible for the accuracy of data entered by users or for any financial decisions made based on estimates created in the platform. Users should independently verify all budget data before submitting bids or making financial commitments.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by factors beyond our control, including third-party service disruptions (Procore API, hosting providers, payment processors).

10. Termination

We may suspend or terminate your account if you violate these terms. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

11. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or the Service shall be resolved through binding arbitration.
